These TimePay UPI – Terms of Use is an electronic record in terms of Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.These Terms of Use –TimePay UPIshall be read in conjunction withcombined“Terms of Use -TimePay”
INTRODUCTION
National Payment Corporation of India (NPCI) have introduced new process / framework in Digital Payments which is referred to as “Unified Payment Interface” (UPI). UPI is payment platform which allows you to make instant online payments from your multiple bank accounts to another Person and or Merchant in a single mobile application.UPI Payment Platform facility is offered to you by Network People Services Technologies Ltd. [(“NPST”)(formerly known asNetwork People Services TechnologiesPvt.Ltd.)] as “ Third Party Application Provider (TPAP)” under our brand name “TimePay”, in the UPI ecosystem in association with The Cosmos Co-operative Bank Limited, a bank licensed under the Banking Regulation Act, 1949, acting as the “ Payment Service Provider (PSP)”, in accordance with the UPI guidelines issued by NPCI and as modified from time to time. The terms ‘NPST’ and “TimePay” have been used interchangeably.

DEFINITIONS
“Applicable Law” means all applicable laws, rules, regulations, guidelines, statutory or government notifications including Reserve Bank of India regulations and Payment Participant Rules.
“Bill Payment Services” means the facility provided to Users on TimePay to view bills or pre-paid plans and make payments to Billers and receive other ancillary services.
“Customer’s Bank” means the Bank where the end-user customer maintains his/her account and has linked the account for the purpose of debiting/crediting the payment transactions made through UPI.
“End User Customer” means the individual who uses UPI payment facility to send and receive payments
“Merchant” means a person or entity who/which (i) avails the TimePay for Business Program; or (ii) provides TimePay as a payment option to its customers through a Payment Participant; or (iii) uses TimePay to collect payments from its customers for goods and services purchased from a merchant either offline or through any online platforms.
“NPCI” NPCI is an authorized payment system operator by RBI. NPCI owns and operates UPI payment system.
“PSP Bank” PSP is the banking company authorized to act as a Payment Service Provider (PSP) under the UPI framework. PSP engages the TPAP to provide UPI services to the end-user customers.
“Service Providers” means banks, financial institutions and software providers who are in the business of providing information technology services, including but not limited to, internet based electronic commerce, internet payment gateway and electronic software distribution services and who have an arrangement with Bank or with NPCI to enable use of UPI Software developed by them to route UPI Transactions.
“TPAP” Third Party Application Provider (TPAP) is an entity that provides the UPI compliant app(s) to the end-user customers to facilitate UPI based payment transactions.
“UPI PIN” Personal Identification Number which is used as authorization credentials by the Issuer Bank for debiting a customer’s account. It will be 4-6 digits numeric PIN only.
“VPA” unique Virtual Payment Account, registered with NPCI that can be linked with your Bank account.
USER REGISTRATION
To avail the services of TimePay UPI Payment Platform, You shall be required to register with TimePay Mobile App.You can register onTimePay UPI Payment Platform by following these few enabling steps- (i) download TimePay mobile App (ii) Click on UPI and create your profile (iii) Link your bank Account(s) (iv) set UPI PIN. Once you have registered for UPI services you will be issued a Virtual Payment Address (VPA) / UPI ID. You agree and understand that TimePay and Cosmos Bank shall at its sole discretion may accept or reject your registration.
NPCI have defined and governed standard registration process under UPI guidelines and it may subject to change from time to time. Being TPAP, NPST is responsible for implementing the process as notified by NPCI from time to time. You understand that the registration process may include access to Your mobile network and sending an unique SMS using your Phone to verify, validate, register and link Your Bank Account on UPI Platform and create an unique VPA / UPI ID.
The details provided by You as part of the UPI registration process, which includes your Banking Information, shall be shared and maintained at PSP Bank’s and NPCI’s secure library and You consent to share and authorize PSP Bank and NPCI to maintain this data.
USER REPRESENTATION AND WARRANTY
By using “TimePay”, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary;(3) you have the legal capacity and you agree to comply with these Terms of Use; (4) you are not a minor ( below the age of 18); (5) You are not barred or otherwise legally prohibited from accessing or using “TimePay” under the laws of India (6) you will not access the “TimePay” through automated or non-human means, whether through a bot, script, or otherwise; (7) you will not use the “TimePay” for any illegal or unauthorized purpose; and (8) your use of the “TimePay” will not violate any applicable laws or regulations.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the “TimePay” (or any portion thereof).
SCOPE OF TIMEPAY UPI PAYMENT SERVICE
‘TimePay’ is a payment solution application which facilitates UPI payment Services.
Through TimePay,
  • you may send payments to service providers, Users, Merchants, Billers or third parties using any Payment Instruments accepted through TimePay.
  • you may also receive payments from other Users or third parties in the Payment Instrument you designated in TimePay to receive funds.
  • you may check your transaction status, transaction history and raise queries if required.
Role, Responsibilities and Obligation of User:
  • Your UPI ID and UPI PIN shall always be required to use the UPI services to make any transactions on UPI Payment Platform. You are solely responsible for protecting your mobile phone and all the transactions made on the UPI Payment Platform. You should take all necessary steps to keep your UPI PIN confidential and not share OTP or UPI PIN with any other person/entity. In case of breach or threatened breach of your UPI PIN or OTP, you shall inform NPST and your Issuing Bank of such breach immediately. You acknowledge that the UPI PIN is stored by your Bank and NPST in no circumstances shall have access to your UPI PIN and thereby shall have no responsibility for any breach, claim, damage, loss suffered by you due to unauthorized use of your UPI PIN.
  • You understand that you are responsible to provide and verify the accuracy of information while availing UPI payment Services. At all times, you shall be liable for any transaction done through UPI Payment Platform from your account; all such transactions shall be considered initiated and approved by you. NPST shall not be required to independently verify the instructions. Your transaction records can be reviewed within the TimePay App – “History” section. You are required to review all transactions and in case you identify any error or unauthorised transaction, you are requested to notify this as per the notified Dispute Redressal Mechanism. It is your responsibility to pay and report of all applicable taxes in accordance with prevailing tax laws of India. You agree to indemnify and hold NPST harmless for all loss/damage caused by any unauthorized use of UPI Payment Platform.You are required to ensure availability of sufficient funds in TimePay UPI linked Bank Account(s) in order to avoid transaction declines and charges if any accessed by your issuer Bank. You agree that TimePay, PSP or any other system participant in UPI Payment System shall not be liable for any delay in the completion of the funds transfer or any loss on account of error in the execution of the funds transfer by you. Transfer of funds via UPI Payment Platform is subject to the restrictions like maximum amount or maximum daily or periodic limits that may be imposed by Cosmos Bank, NPCI, and other banks from time to time, at its sole discretion and further, they may also reject/suspend Transactions (in whole or in part) based on their respective policies and assessment.
  • You may use the Bharat Bill Payment System (BBPS) feature made available on TimePay UPI Payment Platform to make payments towards your bill payments including but not limiting to mobile bills, DTH recharge, Electricity bills and other utility bills etc. You agree that in order to avail such Services you may be required to provide additional details to enable TimePay to fetch such details from respective billers. Additionally, you provide your express consent for TimePay to store such details on your behalf in order to provide the bill payment service to You.
  • NPST shall endeavour to provide You some additional Services/offers (on its own or through Third-Party providers) as it may decide from time to time. NPST shall have the right to decide the criteria and eligibility of Users which would be offered such additional Services.
Fraudulent, Suspicious Transactions:
You understand that any financial transaction initiated by you from your registered Mobile Phone shall be deemed initiated and approved by you. Every UPI Transaction is authenticated using 2-Factor authentication and you are responsible to ensure secrecy and confidentiality of the UPI PIN and any unauthorized use of your Mobile Phone. You shall be solely responsible to bear any losses for UPI transactions done from your Mobile Phone with successful authentication without any liability on TimePay.
NPST and/or Cosmos Bank may at its sole discretion, may temporarily or permanently suspend/terminate the UPI Services to you and/or right to access the UPI Payment Platform, if it has a reason to believe that there is suspicious or unusual activity being carried out through your UPI ID. Your transactions may be suspended or rejected by NPST or Cosmos Bank for various reasons including but not limiting to suspicious transactions, fraudulent transactions, illegal activity, specific transactions prohibited by Cosmos Bank or restrictions mandated by Government and Regulatory authorities.
Fee:
Some banks may charge you some Fee for UPI transactions made using other VPA on UPI Payment Platform. Please check for such charges with your Bank. In addition, you may incur access or data fee from third-party providers in connection with your use of TimePay UPI handle or third-party platform, you understand that you shall be responsible for payment of such Fees.
Role of TimePay in UPI Payment Platform:
All payment transactions through UPI is strictly between Sender and Receiver. TimePay solely acts as facilitator by providing UPI Payment Platform provided by Payment Service Provider to enable Sender and Receiver to carry out such transactions. You agree and understand that TimePay in some scenarios may act as an intermediary for collections and settlement of payments received from the UPI Payment Platform, on your behalf. In no event, shall TimePay be liable for any consequential, incidental, direct or indirect damages suffered during the course of use of UPI Payment Platform or Facility Provided by TimePay.You understand and agree that TimePay is only a facilitator of Payment Transactions and not a party to these Payment Transactions. TimePay is not a Payments System Provider. TimePay is not responsible for any act of Users, including, non-completion of a Transaction. TimePay is neither acting as a trustee nor acting in a fiduciary capacity with respect to any Payment Transaction.
TimePay may facilitate products and services from third-party to you through UPI services. You may have to accept additional terms and conditions to avail such services. TimePay shall not have any responsibility, in any manner whatsoever for any aspect of Product or Services you purchase provided by Third-Party.
We hereby confirm that:
  • We Network People Services TechnologiesLtd.[(“NPST”)(formerly known asNetwork People Services TechnologiesPvt.Ltd.)] are a TPAP authorized by NPCI to facilitate payments through PSP Bank(s) namely The Cosmos Co-operative Bank Ltd. We are a service provider and we participate in UPI through the PSP Bank.
  • We are bound by the tripartite agreement entered with the sponsor PSP Bank The CosmosCo-operative Bank Ltd. and NPCI. We are responsible for facilitating grievances / complaints resolution of the customers on-boarded on our UPI application.
  • We shall be the first point of contact for all UPI related grievances/complaints for customers on-boarded by us. In case the complaint/grievance remains unresolved, the next level for escalation will be the PSP Bank, followed by the bank (where you maintain the account) and NPCI in the same order. After exercising these options, you can approach the Banking Ombudsman and / or the Ombudsman for Digital Complaints, as the case may be.
ROLES AND RESPONSIBILITIES OF NPCI, PSP BANK AND TPAP
NPCI:
  • NPCI owns and operates the Unified Payments Interface (UPI) platform.
  • NPCI prescribes rules, regulations, guidelines, and the respective roles, responsibilities and liabilities of the participants, with respect to UPI. This also includes transaction processing and settlement, dispute management and clearing cut-offs for settlement.
  • NPCI approves the participation of Issuer Banks, PSP Banks, Third Party Application Providers (TPAP) and Prepaid Payment Instrument issuers (PPIs) in UPI.
  • NPCI provides a safe, secure and efficient UPI system and network.
  • NPCI provides online transaction routing, processing and settlement services to members participating in UPI.
  • NPCI can, either directly or through a third party, conduct audit on UPI participants and call for data, information and records, in relation to their participation in UPI.
  • NPCI provides the banks participating in UPI access to system where they can download reports, raise chargebacks, update the status of UPI transactions etc.
PSP Bank:
  • PSP Bank is a member of UPI and connects to the UPI platform for availing UPI payment facility and providing the same to the TPAP which in turn enables the end-user customers / merchants to make and accept UPI payments.
  • PSP Bank, either through its own app or TPAP’s app, on-boards and registers the end-user customers on UPI and links their bank accounts to their respective UPI ID.
  • PSP Bank is responsible for authentication of the end-user customer at the time of registration of such customer, either through its own app or TPAP’s app.
  • PSP Bank engages and on-boards the TPAPs to make the TPAP’s UPI app available to the end-user customers.
  • PSP Bank has to ensure that TPAP and its systems are adequately secure to function on UPI platform.
  • PSP Bank is responsible to ensure that UPI app and systems of TPAP are audited to safeguard security and integrity of the data and information of the end-user customer including UPI transaction data as well as UPI app security.
  • PSP Bank has to store all the payments data including UPI Transaction Data collected for the purpose of facilitating UPI transactions, only in India.
  • PSP Bank is responsible to give all UPI customers an option to choose any bank account from the list of Banks available on UPI platform for linking with the customer’s UPI ID.
  • PSP Bank is responsible to put in place a grievance redressal mechanism for resolving complaints and disputes raised by the end-user customer.
TPAP:
  • TPAP is a service provider and participates in UPI through PSP Bank.
  • TPAP is responsible to comply with all the requirements prescribed by PSP Bank and NPCI in relation to TPAP’s participation in UPI.
  • TPAP is responsible to ensure that its systems are adequately secure to function on the UPI platform.
  • TPAP is responsible to comply with all applicable laws, rules, regulations and guidelines etc. prescribed by any statutory or regulatory authority in relation to UPI and TPAP’s participation on the UPI platform including all circulars and guidelines issued by NPCI in this regard.
  • TPAP has to store all the payments data including UPI Transaction Data collected by TPAP for the purpose of facilitating UPI transactions, only in India.
  • TPAP is responsible to facilitate RBI, NPCI and other agencies nominated by RBI/ NPCI, to access the data, information, systems of TPAP related to UPI and carry out audits of TPAP, as and when required by RBI and NPCI.
  • TPAP shall facilitate the end-user customer with an option to raise grievance through the TPAP’s grievance redressal facility made available through TPAP’s UPI app or website and such other channels as may be deemed appropriate by the TPAP like email, messaging platform, IVR etc.
TERMINATION
TimePay reserves the right, in our sole and absolute discretion, to suspend or terminate your use of UPI Services, without notice and without liability to you or any third-party, for any reason, including but not limiting to inactivity of your account or violation of any of Combined Terms of Use or any other policies which may be published or applied from time to time.In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.
You take note that We are permitted by NPCI under UPI Payment System to store your registration information, VPAs, transactional information or any other information as permitted even after termination of your account for the duration as specified in regulations or notified by NPCI from time to time.
PRIVACY
You irrevocably and unconditionally authorize TimePay to access and/or share the information provided by you and the records for providing UPI Services. You agree that TimePay and its Service Providers may hold or process the information provided by you for purpose of providing UPI Services as well as for analysis, internal risk management, marketing purposes. You consent to receive notifications including promotional materials from TimePay from time to time.We shall ensure that all your confidential data pertaining to your money transactions, bank account details, and all other sensitive personal information are protected and kept confidential.
INDEMNITY
You shall indemnify and hold harmless NPST, its owner, licensee, affiliates, subsidiaries, group companies (as applicable) and their respective officers, directors, agents, and employees, from any claim or demand, or actions including reasonable attorneys’ fees, made by any third party or penalty imposed due to or arising out of :
  • your misuse of the UPI Services; including wilful misconduct and fraud.
  • any breach or non-compliance by you of any terms in Combined Terms of Use and any additions thereof.
  • any dispute or litigation caused by your acts or omissions, or
  • your negligence or violation or alleged violation of any applicable law or rights of a third party.
LIMITATION OF LIABILITY
In no event will we or our directors, employees, partners or affiliates be liable to you for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Timepay UPI Services or inability to use, or in connection with any failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus or line or system failure, even if we have been advised of the possibility of such damages.
DISCLAIMER
TimePay solely acts as facilitator by providing UPI Payment Platform provided by Cosmos Bank to enable you to make payments for Products and Services using UPI. TimePay in no circumstances shall have access to your UPI PIN and thereby shall have no responsibility for any breach, claim, damage, loss suffered by you due to unauthorized use of your UPI PIN. In furtherance TimePay shall not be responsible for any lapse of security on your Mobile Phone or failure of transactions due to lapse by your internet service provider or Manufacturer of the Mobile Phone. Your transaction records and other logs maintained with Us shall be final and binding as a proof of UPI facility and transactions.
TimePay does not warrant that UPI Services will be uninterrupted or error free, and TimePay shall not be responsible for any Service interruptions while completing a UPI transaction.
GOVERNING LAW
This Terms of Use and the rights and obligations thereunder and the relations of the parties and all matters arising under or in connection with this Terms of Use, including the construction, validity, performance or termination thereunder, shall be governed by and construed in accordance with the laws of the Republic of India. The courts in Mumbai, Maharashtra shall have exclusive jurisdiction over all matters connected with the Services.
DISPUTE REDRESSAL MECHANISM
  • Every end-user customer can raise a complaint with respect to a UPI transaction, on the PSP app / TPAP app.
  • End-user customer can select the relevant UPI transaction and raise a complaint in relation thereto.
  • A complaint shall be first raised with the relevant TPAP in respect to all UPI related grievances / complaints of the end-user customers on-boarded by the PSP Bank / TPAP (if the UPI transaction is made through TPAP app). In case the complaint / grievance remains unresolved, the next level for escalation will be the PSP Bank, followed by the bank (where the end-user customer maintains its account) and NPCI, in the same order. After exercising these options, the end-user customer can approach the Banking Ombudsman and / or the Ombudsman for Digital Complaints, as the case may be.
  • The complaint can be raised for both the types of transactions i.e. fund transfer and merchant transactions.
  • The end-user customer shall be kept communicated by the PSP / TPAP by means of updating the status of such end-user customer’s complaint on the relevant app itself.
